Castel Group has agreed to acquire an 80.4% stake in Guinness Ghana Breweries PLC from Diageo Holdings Netherlands B.V. at a price of GHȼ 5.15 per share, as formalized in a share purchase agreement signed on January 28, 2025.
The transaction is subject to regulatory approval by the ECOWAS Regional Competition Authority (ERCA) and will comply with Ghana’s Securities and Exchange Commission’s Code on Takeovers and Mergers. Once the acquisition is completed, a mandatory takeover offer for the remaining shares may follow.
Already partnered with Diageo in 11 other African markets, Castel Group has committed to driving growth at Guinness Ghana Breweries, underscoring its long-term strategy in the global beverages industry.
